Appr ReqThe date on which the Secretary of State sent a request for approval of an application for dissolution of a corporation to the Department of Tax and Revenue and the Employment Security and Worker's Compensation Divisions of the Bureau of Employment Programs. Clearances are required by all three agencies before a corporation may voluntarily dissolve or withdraw.
Art of DissThe date on which a corporation filed the articles of dissolution or withdrawal. This data is not completed only for corporations dissolved or withdrawn prior to mid March, 2000.
Auth ShrsFor corporations only, the current total number of authorized shares, a number which may be changed by amendment
AW/TermFor limited liability companies only, the code indicating whether the company is an At-Will (perpetual) company or a Term company with a lifetime of a specific number of years.
Bus PurpThe code for the business purpose of the company. Applicants are not required to provide this reason to the Secretary of State, so most records will be blank.
Cap StckFor corporations only, the total amount of authorized capital stock, representing the product of the par value X the total number of authorized shares. For purposes of determining the corporate license tax, if the par value is set at 0, the value of the total authorized capital stock is calculated at $25 X the number of authorized shares.
Ch CountyCharter County – the code for the WV County in which the company will file its charter and have its primary business or main office in the state. This data was not entered prior to data conversion in 2000, so do not expect to find this for most records (see County # Index).
Ch StateCharter State – the state or country in which the company was originally organized.
Ch TypeCharter Type - either domestic (D) for a company organized in WV, or foreign (F) for a company organized in another state or country.
ClassFor-profit (P) or Nonprofit (N),
CommentsThis field contains information which could not be entered into any available field in the mainfram data system, or notations which might be needed to understand the status of the company. Following conversion, some of this information is redundant as the information will have been inserted into new fields in the new database. It is available only to authorized agency users.
Ctrl NumThe number assigned by the Secretary of State upon completion of initial company organization or authorization and used to notify Tax & Revenue that the next step of issuing a business franchise certificate is in order
DBAMeaning "doing business as," the registered trade name of the company, under which it authorized to do business in West Virginia. It is unlawful for a corporation, limited liability company, limited partnership, limited liability partnership, voluntary association or business trust to do business under a name which is not registered as a trade name.
Desig OfficeFor limited liability companies only, the required physical address in West Virginia of an office designated by the company as the in-state contact location for the company.
DirectorA person elected to the board of directors of a corporation.
Eff DateEffective Date – the official beginning date on which the company was first authorized to do business in West Virginia. The original effective date follows the company through name changes.
ES ApprThe date on which the Employment Security Division approved the dissolution of a corporation.
Ex AcresThe number of acres in excess of 10,000 acres owned by a corporation in West Virginia which are subject to a special initial fee upon registration.
FDBMeaning "foreign doing business as" name, the trade name of the company under which it is authorized to do business in West Virginia when it cannot register under the name of the company used in its home state because the name is not available in West Virginia, or does not meet the requirements of WV law.
Filing DateFiled Date – used for limited liability companies only, because those companies are allowed to file and set a future date for the first day of business in the state.
General PartnerIn a limited partnership or limited liability partnership, a person or company which is authorized to sign legal documents pertaining to the company.

Loc OfficeThe local or West Virginia office address of a company which has a principal office out of state.
ManagerIn a manager-managed limited liability company, the person(s) appointed as manager and authorized to sign filings on behalf of the company. Until records have been updated following conversion, names of members of member-managed companies may appear in these fields.
MemberIn a member-managed limited liability company, the member(s) authorized to sign filings on behalf of the company. Also, a member of a voluntary association.
MergedThe name of a company merging into another company.
Merged State/ProvinceThe state of origin of a company merging into another company.
MgmtFor limited liability companies only, the designation of whether the company is member-managed or manager-managed.
NameThe name of the company, trade name, reserved or registered name, or trademark words.
Notice of Process AddressThe name and address of the person or company which is authorized to receive service of legal process on behalf of the company, and to whom service is mailed by certified mail when a company is sued and served by the Secretary of State.

Org TypeThe code for the organization or name type, such as a corporation, limited liability company, reservation, etc. (see Code Index).

Sec TypeThe code for the organization's secondary type, if any. For example, a corporation also registered as a credit service organization would be Org Type "C" and Sec Type "CSO."
SecretaryThe secretary of a corporation or voluntary association, elected by directors, shareholders or member, as provided by the company charter or bylaws. The president and secretary of a corporation may not be the same person, and both positions are required by law.
SurvivedThe name of a company into which another company has merged.
Survived State/ProvinceThe state of origin of a company into which another company has merged.
St of IntentThe date on which a corporation filed a statement of intent to dissolve or withdraw. The statement, applicable only to corporations, may be filed before the adoption by the board of the directors of the articles of dissolution or withdrawal.
Tax ApprThe date on which the Department of Tax and Revenue approved the dissolution of a corporation.
Tax IDThe FEIN or WV tax number of the company. This number is only available on this database to West Virginia agencies for governmental purposes and is to be treated as confidential information by all employees accessing this data.
Term DateThe date the company is officially dissolved, terminated, cancelled or withdrawn and after which may no longer do business in WV, except in some cases to wind up affairs. Only limited liability companies may set a future date, calculated on its is formation date plus the number of years in its term.
